1. Agreement and eligibility
These Terms are a binding agreement between Michael Sloop Films, doing business as ShootGrid (“ShootGrid”), and the person or organization using the service. By creating an account, subscribing, downloading software, or using ShootGrid, you accept these Terms and ourPrivacy Policy. You must be at least 18 and able to bind the business or organization you represent.
2. The service
ShootGrid provides photography workflow software and hosted services, including camera or Lightroom-assisted capture, QR-based client assignment, private galleries, delivery, storage, downloads, and optional commerce features. Features, supported cameras, operating-system requirements, and third-party integrations may change. Preview or beta features may be incomplete and should be tested before a live job.
3. Accounts and security
You are responsible for accurate account information, secure passwords, authorized devices, gallery passwords, and all activity under your account. Notify us promptly of suspected compromise. You may not share licenses outside your organization, bypass subscription or device controls, reverse engineer protected components except where law expressly permits, or help another person gain unauthorized access.
4. Subscriptions, renewal, taxes, and cancellation
Paid plans renew automatically for the monthly or annual period shown at checkout until canceled. You authorize recurring charges, applicable taxes, and disclosed usage or messaging charges. Cancel through the billing portal before the next renewal date to avoid the next charge. Cancellation takes effect at the end of the current paid billing period. 5. Customer content and permissions
You retain ownership of photographs and other content you provide. You grant ShootGrid a limited, non-exclusive license to host, copy, transform, transmit, back up, and display that content only as needed to operate, secure, support, and improve the service. You represent that you have the rights and permissions necessary to collect, upload, sell, and deliver the content and related client contact information, including appropriate authority for minors.
You are responsible for your relationship with photography clients, product descriptions, prices, taxes not collected by the platform, refunds for your sales, print fulfillment, and compliance with privacy, consumer-protection, accessibility, email, and text-messaging laws.
6. Acceptable use
You may not use ShootGrid to:
- upload unlawful, infringing, exploitative, deceptive, or malicious content;
- photograph, track, contact, or market to a person without required notice or permission;
- send spam, prohibited automated messages, malware, or abusive traffic;
- probe, disrupt, overload, scrape, or circumvent service or security controls; or
- resell or provide ShootGrid as a competing hosted service without written permission.
7. ShootGrid intellectual property
ShootGrid software, branding, interface, documentation, and service technology are owned by Michael Sloop Films or its licensors and are protected by copyright, trademark, and other laws. Subject to these Terms and an active subscription, we grant you a limited, non-transferable, revocable license to install and use the released applications and optional plug-ins for your internal photography work.
8. Availability, backups, and changes
We work to keep ShootGrid reliable, but uninterrupted or error-free service is not guaranteed. You should keep original photographs and test camera, network, delivery, and payment workflows before a paid event. ShootGrid is a delivery system, not the sole archive for your originals. We may maintain, secure, change, or discontinue features and will provide reasonable notice when a material change adversely affects a paid service.
9. Suspension and termination
We may restrict or suspend access for nonpayment, security risk, unlawful use, material breach, or danger to the service or others. When practical, we will provide notice and an opportunity to correct the issue. Cancellation and data retention follow the publishedData Retention Policy. Sections that by their nature should survive termination continue to apply.
10. Disclaimers and limitation of liability
To the maximum extent permitted by law, ShootGrid is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. ShootGrid is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages, or for loss caused by a camera, computer, network, third-party service, client, or failure to preserve original files.
To the maximum extent permitted by law, ShootGrid’s aggregate liability arising from the service will not exceed the amount you paid ShootGrid during the 12 months before the event giving rise to the claim. These limits do not exclude liability that cannot legally be limited.
11. Governing law and contact
Georgia law governs these Terms without regard to conflict-of-law principles, except where consumer law requires otherwise. Before filing a claim, contact us and allow 30 days for an informal resolution. Courts with lawful jurisdiction in Georgia may hear unresolved claims. 12. Changes
We may update these Terms. Material changes will be posted with a new effective date and, when appropriate, communicated through the service. Continued use after an update takes effect means you accept the revised Terms.
